These Terms and Conditions (also referred to as the “Terms” or “Terms of Service”) govern your access to and use of the platform at goatech.ai, our courses, our SDKs, and any associated services (collectively, the “Services”) provided by GoaTech AI LLC, a California limited liability company (CA entity number B20260198511) with a principal office at 2108 N Street #4923, Sacramento, CA 95816 (“GoaTech AI LLC,” “Sheepit,” “we,” “us,” or “our”).
1. Acceptance
By creating an account, accessing, or using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
2. Eligibility and Accounts
You must be at least 16 years old to create an account or use the Services. The Services are not directed to children under 16, and we do not knowingly allow children under 16 to register. By creating an account you represent that you meet this age requirement.
You must provide accurate information when registering. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us promptly at legal@goatech.ai if you suspect unauthorized access.
3. Courses and Content
Course content is licensed for your personal, non-commercial use. You may not redistribute, resell, or publicly share course materials without written permission. Enrollments are non-transferable except through the official gift feature.
4. Platform Services
The Sheepit platform (feature flags, experiments, analytics, releases) is provided as described on the site. Usage is subject to the limits of your plan. We reserve the right to suspend accounts that exceed their limits or violate these Terms.
5. Payments, Billing, and Merchant of Record
Consumer course purchases are sold by Paddle.com Market Limited (“Paddle”) as the Merchant of Record. Paddle handles payment processing, fraud screening, sales tax / VAT collection and remittance, and refunds on our behalf. Your purchase contract for the underlying course content remains with Sheepit, but Paddle is the seller of record for payment, tax, and chargeback purposes. We may use Stripe, Inc. for legacy or B2B billing flows.
All fees are quoted in the currency shown at checkout and exclude applicable taxes unless stated otherwise. Paddle determines the final tax-inclusive price based on your location.
6. Refunds
Refunds are governed by Paddle's Refund Policy at paddle.com/legal/refund-policy. See our Refund Policy for a summary, including statutory withdrawal rights, the request process, and the digital- content exception under EU/UK law.
7. User-Generated Content
You may submit content to the Services (course comments, gift messages, feedback, bug reports, NPS responses, custom dashboards, prompts, configuration, project metadata, and similar). You retain ownership of your content. You grant Sheepit a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify, and display that content solely as needed to operate the Services and improve them. You represent that you have the right to grant this license and that your content does not infringe any third party's rights or violate any law.
8. Prohibited Conduct
- Reverse-engineering, scraping, or automated access to the platform.
- Attempting to circumvent authentication, billing, or usage limits.
- Using the Services to distribute malware or conduct illegal activity.
- Sharing account credentials or API keys with unauthorized parties.
- Uploading content that is unlawful, defamatory, harassing, or that infringes the rights of others.
9. Intellectual Property
All Sheepit platform code, course content, branding, design tokens, and documentation are the property of Sheepit (GoaTech AI LLC) or its licensors and are protected by copyright, trademark, and other laws. Your data and projects remain yours, subject to the license in Section 7.
10. AI-Assisted Content and Output Disclaimer
Some courses, code samples, prompts, and templates on the Services include or instruct the use of generative AI. Output produced by AI tools — whether shown in course materials or generated by you while following them — is provided for educational purposes only and may contain errors, security issues, or insecure patterns. You are responsible for reviewing, testing, and validating any AI-assisted output before relying on it in production or any other consequential setting. Sheepit is not liable for damages arising from your use of AI-generated output.
11. Disclaimer of Warranties
THE SERVICES, COURSE CONTENT, AND ANY OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES, AND TO THAT EXTENT THE ABOVE EXCLUSIONS DO NOT APPLY TO YOU.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, SHEEPIT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, GOODWILL, OR REVENUES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR TOTAL CUMULATIVE LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU PAID TO SHEEPIT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED US DOLLARS (US$100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.
13. Indemnification
You agree to defend, indemnify, and hold harmless Sheepit (GoaTech AI LLC), its officers, employees, and contractors from and against any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Services in violation of these Terms or applicable law; (b) your User-Generated Content; or (c) your violation of any third-party right.
14. Termination
You may delete your account at any time from your account settings. We may suspend or terminate accounts that violate these Terms. Upon termination, your right to access course content and platform services ceases. Sections that by their nature should survive termination (including Sections 7, 9, 10, 11, 12, 13, 15, and 16) will survive.
15. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict-of-law principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
16. Dispute Resolution; Arbitration; Class-Action Waiver
Please read this section carefully — it affects your legal rights.
Except for (a) claims that may be brought in a small-claims court of competent jurisdiction and (b) claims for injunctive relief related to intellectual property, any dispute, claim, or controversy arising out of or relating to these Terms or the Services shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules. The arbitration shall take place in Alameda County, California, or remotely at the arbitrator's discretion, and the language shall be English.
Class-action waiver. You and Sheepit each agree that any dispute will be resolved on an individual basis and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding.
30-day opt-out. You may opt out of this arbitration agreement by sending a written notice to legal@goatech.ai with the subject line “Arbitration Opt-Out” within 30 days of first accepting these Terms. The notice must include your full name, account email, and a clear statement that you wish to opt out.
If any portion of this Section 16 is found unenforceable, the remainder will continue in force, except that if the class-action waiver is held unenforceable, the entire arbitration agreement is void and disputes will be resolved in the courts identified in Section 17.
17. Venue for Non-Arbitrable Claims
For any claim not subject to arbitration under Section 16 (including small-claims actions and IP-related injunctive claims), you and Sheepit consent to the exclusive jurisdiction of the state and federal courts located in Alameda County, California.
18. Changes
We may update these Terms from time to time. Material changes will be communicated by email or in-app notification at least 30 days before they take effect. Continued use of the Services after the effective date constitutes acceptance of the updated Terms.
19. Miscellaneous
- Severability. If any provision of these Terms is held invalid or unenforceable, the remaining provisions will continue in full force and effect.
- Entire Agreement. These Terms, together with the Privacy Policy, Cookie Policy, and Refund Policy, constitute the entire agreement between you and Sheepit regarding the Services.
- Assignment. You may not assign these Terms without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets.
- Force Majeure. Neither party will be liable for any failure or delay caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, civil disturbance, labor disputes, internet outages, or governmental action.
- Electronic Communications. You consent to receive communications from us electronically, and you agree that all notices, agreements, and disclosures we provide electronically satisfy any legal requirement that they be in writing.
- No Waiver. Failure to enforce any right under these Terms is not a waiver of that right.
